BaFin concludes review of the notes to our financial statements 2025 – no impact on financial KPIs and performance of Zalando

We appreciate that the Federal Financial Supervisory Authority (BaFin) has concluded its review of our 2025 financial statements with today's publication.

BaFin has found that information regarding a related-party transaction was omitted from the notes to the consolidated financial statements 2025. We acknowledge this omission. As stated at the outset of this review, this is a purely formal and materially insignificant aspect of the notes to the financial statements. All relevant information regarding the acquisition of the ABOUT YOU shares – including the companies involved, the transaction structure, and the purchase price – was fully publicly accessible as part of the public tender offer. 

This finding by BaFin has no impact on the financial KPIs, asset position, or ongoing operational performance of Zalando.

Given our close cooperation with BaFin, the review was concluded swiftly. Zalando will cover the resulting procedural costs, which we expect to be immaterial. No fine was imposed.
